Terms of Service & End User License Agreement

These terms (the "Terms") are a legal agreement between you and Harley Swaney ("we", "us"), who runs the Elarix Discord bot, its web dashboard at elarixbot.com and related services (together, "Elarix"). They apply when you add Elarix to a Discord server, use its commands, buttons or dashboard, or interact with it in any way.

By adding Elarix to a server or using it, you agree to these Terms, the Privacy Policy and, if you buy Premium, the Premium Terms. If you don't agree, don't use Elarix and remove it from your server. Section 17 limits how disputes can be brought; please read it.

1. Who can use Elarix

• You must be old enough to use Discord where you live (at least 13, older in some countries) and be allowed to agree to these Terms. If you're under the age of majority where you live, a parent or guardian must agree to them for you.
• If you add Elarix to a server, or configure it, you confirm that you're allowed to do so for that server, and you accept these Terms on behalf of that server as its administrator.
• You can't use Elarix if you're barred from doing so by law, or if we've previously stopped you from using it.

2. Your license to use Elarix

Subject to these Terms, we give you a personal, limited, non-exclusive, non-transferable, non-sublicensable and revocable license to use Elarix through Discord and the dashboard, for your own and your community's use. This is a license, not a sale: we (and our licensors) keep all rights in Elarix, including its code, name, logo, designs, text, images and generated cards. Nothing in these Terms gives you any right to our trademarks or branding. Any rights not expressly granted are reserved.

3. What you may not do

You agree not to, and not to help or let anyone else:

• copy, modify, decompile, disassemble or reverse-engineer Elarix, or try to extract its source code, except where the law expressly allows this despite this restriction;
• probe, scan or test Elarix for vulnerabilities, or get around any security, rate limit, usage limit, Premium check or access control (security researchers: report issues to us privately first, see section 21);
• overload or disrupt Elarix or the services it relies on, including by spamming commands, automating use through self-bots or scripts, or flooding the dashboard or webhooks;
• scrape Elarix or the dashboard, or use its output to build a competing product or to train AI models;
• resell, rent, sublicense or commercially exploit Elarix, or access to it, without our written permission;
• impersonate Elarix, its staff or anyone else, or misrepresent your connection to us;
• use Elarix to harass, threaten, dox, discriminate against or harm anyone; to spread spam, scams, malware or phishing; to share content that sexualizes minors, promotes violence or terrorism, or is otherwise illegal; or to break Discord's Terms of Service, Community Guidelines or Developer Policy;
• use Elarix to break any law, or anyone else's rights, including privacy, publicity and intellectual property rights;
• sell, buy or trade Elarix coins, levels, items or accounts for real money or anything of value (see section 8).

4. Server administrators

If you manage a server that uses Elarix, you are responsible for:

• how Elarix is configured in your server and every action it takes there on your settings: bans, kicks, timeouts, message deletions, role changes, lockdowns, logs, auto-responses, scheduled posts and anything else;
• checking that your use of Elarix is lawful and fits your community, including telling your members about features that record or process their activity (message logs, ticket transcripts, invite tracking, insights, AI features);
• any giveaways, contests or events you run with Elarix. You are the sponsor, you provide the prizes, and you must follow any laws that apply to them. Elarix only picks entries at random;
• any API key you give Elarix (such as a Google Gemini key): you must be allowed to use it, you're responsible for the provider's terms, charges and data rules that come with it, and you can remove it at any time;
• anything you post through Elarix, including welcome messages, embeds, auto-responses, feeds and templates.

5. Your content

You keep ownership of what you and your members submit to Elarix (settings, suggestions, reminders, ticket topics, templates, images and so on, "Your Content"). You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, display and transmit Your Content only as needed to run, secure and improve Elarix, as described in the Privacy Policy. This license ends when Your Content is deleted, except for copies in backups until they roll off and anything we must keep by law. You confirm you have the rights to Your Content and that it doesn't break these Terms. We don't review Your Content in advance and aren't responsible for it, but we may remove it or disable features if we believe it breaks these Terms or the law.

If you send us ideas or feedback, we may use them freely without owing you anything.

6. Third-party services

Elarix works on Discord and uses other services, including YouTube, Google (Gemini AI, Drive for encrypted backups), Anthropic (Claude AI), Reddit and RSS feeds, stream platforms, Stripe and top.gg. Those services have their own terms and privacy policies, which apply to your use of them. We don't control them and aren't responsible for their content, availability, changes or actions. If a service changes its rules or access, related features may stop working without notice.

The voice assistant's weather comes from the Norwegian Meteorological Institute (MET Norway, CC BY 4.0), with places found through OpenStreetMap (© OpenStreetMap contributors, ODbL), and its look-ups from Wikipedia (CC BY-SA 4.0).

7. Music and AI features

• Music is streamed from third-party services at users' request. You are responsible for what you play and for having the right to listen to it. We don't host, own or endorse any of it. Music features may be limited or removed at any time.
• AI features (chat, roasts, summaries, translation, the voice assistant, AI moderation) are generated automatically by a third-party model. AI output can be wrong, incomplete, biased, offensive or unexpected. It isn't advice (legal, medical, financial or otherwise) and doesn't reflect our views. Check anything important yourself. You're responsible for how you use AI output, and for not using AI features to create content that breaks these Terms. AI moderation can make mistakes; staff should review its decisions.

8. Virtual items

Coins, XP, levels, streaks, shop items, ranks and any other in-bot items or currency have no monetary value. They can't be bought with, exchanged for, or cashed out as real money or anything of value, and aren't your property. We and server administrators can change, reset or remove them at any time, for example to fix bugs or abuse. Games such as coin flip and slots use only these valueless coins and are for entertainment only; they're not gambling and must never be combined with real-money stakes or prizes. Giveaway prizes come from the server running the giveaway, not from us.

9. Premium

Elarix Premium is optional and paid. Buying it means you also agree to the Premium Terms, which cover billing, renewals, cancellation and refunds. If the Premium Terms and these Terms conflict about Premium, the Premium Terms apply.

10. Privacy

How we collect and use personal data is explained in the Privacy Policy, which is part of these Terms. You can download or delete your data at any time with /elarix privacy.

11. Availability, changes and support

We may change, add, limit or remove any part of Elarix at any time, with or without notice, including features, limits and commands. We don't promise that Elarix will be available at any particular time, will keep any feature, or will keep any data (back up anything important yourself). Free features can be changed or ended at any time. Support is provided on a best-effort basis.

12. Suspension and termination

• You can stop using Elarix at any time by removing it from your server and no longer using its commands.
• We may suspend or end your or your server's access to Elarix, or any feature, at any time, with or without notice, if we believe you've broken these Terms or the law, created risk or possible legal exposure for us or others, or if we stop offering Elarix. Where it's reasonable we'll try to tell you why.
• When access ends, your license ends and data is handled as described in the Privacy Policy. Sections 2 (ownership), 3, 5 (feedback), 8, 13 to 18 and 20 continue to apply after these Terms end.

13. Disclaimer of warranties

ELARIX IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DON'T WARRANT THAT ELARIX WILL BE UNINTERRUPTED, SECURE, ERROR-FREE OR FREE OF HARMFUL COMPONENTS, THAT DATA WON'T BE LOST OR CORRUPTED, THAT AUTOMATED MODERATION WILL CATCH OR CORRECTLY JUDGE ANY CONTENT, OR THAT AI OUTPUT WILL BE ACCURATE OR APPROPRIATE. YOU USE ELARIX AT YOUR OWN RISK.

14. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW: (A) WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, MEMBERS, COMMUNITY OR REPUTATION, OR FOR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO ELARIX OR THESE TERMS; (B) WE WILL NOT BE LIABLE FOR ACTIONS ELARIX TAKES BASED ON A SERVER'S CONFIGURATION, FOR CONTENT OR CONDUCT OF USERS OR THIRD PARTIES, OR FOR THIRD-PARTY SERVICES; AND (C) OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO ELARIX OR THESE TERMS WILL NOT BE MORE THAN THE GREATER OF THE AMOUNT YOU PAID US FOR ELARIX IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US $20. THESE LIMITS APPLY TO EVERY THEORY OF LIABILITY (CONTRACT, TORT INCLUDING NEGLIGENCE, STATUTE OR OTHERWISE), EVEN IF WE WERE TOLD SUCH DAMAGES WERE POSSIBLE, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

15. Indemnity

To the extent allowed by law, you will defend, indemnify and hold harmless us and anyone who helps run Elarix from any claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or relating to Your Content, your use of Elarix, how Elarix is configured in a server you manage, giveaways or events you run, or your breach of these Terms or the law. We may take control of the defense of any such claim at our own cost, and you'll cooperate with us.

16. Governing law

These Terms, and any dispute arising out of or relating to them or Elarix, are governed by the laws of the State of South Carolina, USA, and applicable U.S. federal law, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods doesn't apply.

17. Disputes

• Talk to us first. Before starting any formal claim, contact us at privacy@hugobot.online describing the problem and what you want. We'll both try in good faith to resolve it within 30 days.
• Where claims go. If it isn't resolved, any claim must be brought only in the state or federal courts located in South Carolina, and you and we consent to their personal jurisdiction and venue. Either of us may instead bring an individual claim in small claims court where it qualifies.
• Individual claims only. To the fullest extent allowed by law, claims may be brought only individually, not as a plaintiff or class member in any class, collective, consolidated or representative action, and both sides waive any right to a jury trial.
• Time limit. To the extent allowed by law, any claim must be filed within one year after it arose, or it's permanently barred.
• Either of us may seek an injunction in any competent court to protect intellectual property or stop misuse of Elarix.

18. Where local law gives you more rights

Some countries and states don't allow certain disclaimers, limits on liability, choice of law or forum, or other terms above. Where they don't, those terms apply only as far as the law allows. In particular, if you're a consumer in the EU, EEA, UK or Switzerland, nothing in these Terms takes away rights you have under the mandatory laws of your country, you can bring claims in your local courts, and we remain liable as required by law for death or personal injury caused by our negligence, for fraud, and for gross negligence or intentional misconduct.

19. Changes to these Terms

We may update these Terms from time to time. We'll change the date at the top, and for material changes we'll give reasonable notice, for example on the website or in the support server, before they take effect. If you keep using Elarix after changes take effect, you accept them. If you don't agree, stop using Elarix. Changes don't apply to disputes that arose before them.

20. General

• Entire agreement. These Terms, the Privacy Policy and (if you buy Premium) the Premium Terms are the whole agreement between you and us about Elarix and replace any earlier agreements about it.
• Severability. If any part of these Terms is found unenforceable, it will be enforced as far as possible and the rest stays in effect.
• No waiver. Not enforcing a right isn't a waiver of it.
• Assignment. You can't transfer these Terms or your rights under them. We may transfer them, for example if Elarix changes hands, and the new operator will be bound by them.
• Force majeure. We aren't responsible for delays or failures caused by events outside our reasonable control, including outages of Discord or other providers, network failures, attacks, natural events and changes in law.
• Export and sanctions. You confirm you're not located in a country subject to U.S. embargo and aren't on any U.S. government list of restricted parties, and you'll follow applicable export and sanctions laws.
• No third-party rights. Nobody other than you and us has rights under these Terms, except as stated in section 15.
• Relationship. Nothing here creates a partnership, employment, agency or joint venture.
• Notices. We may notify you through Discord, the website, the support server or email. You can notify us at privacy@hugobot.online.
• Language and headings. The English version controls. Headings are for convenience only. "Including" means "including without limitation".
• Discord. These Terms are between you and us, not Discord. Discord isn't responsible for Elarix.
